Partner Agreement

This Partner Agreement ("Agreement") establishes the terms and conditions governing the relationship between you ("Partner", "you") and ORYX Private Mobility ("ORYX", "Platform", "we", "us") for the provision of services through the ORYX platform.

By registering as a service provider on the ORYX Driver application and accepting this Agreement, you confirm that you have read, understood, and agree to be bound by its terms.

1. Definitions

ORYX / Platform: A technology platform that connects clients seeking private transportation, security, and nautical services with independent service providers. ORYX does not directly provide transportation, security, or charter services.
Partner: An independent professional or company registered on the ORYX Driver application to offer services to clients through the Platform.
Client: A user of the ORYX application who requests services.
Booking: A service request made by a Client and accepted by a Partner through the Platform.
ORYX Circle: The Platform's referral programme through which users earn commissions for inviting new participants.

2. Nature of the Relationship

The Partner operates as an independent contractor (trabajador autonomo) or as an independent company. This Agreement does not create any employment, agency, joint venture, or partnership relationship between the Partner and ORYX.

The Partner is free to work with other platforms and accept or decline bookings at their sole discretion.
ORYX does not impose working hours, schedules, or a minimum number of bookings.
The Partner is solely responsible for their own taxes, social security contributions (RETA), insurance, and legal compliance.
The Partner provides their own vehicle, equipment, and tools necessary to perform the services.
ORYX does not direct or control the manner in which the Partner performs the services, beyond the quality standards set forth in this Agreement.

3. Partner Requirements

To register and remain active on the Platform, Partners must meet the requirements applicable to their service category:

3.1 VTC Driver (Private Transportation)

Valid VTC authorization as required by Ley 9/2013, de 4 de julio, and ORDEN FOM 36/2008.
Valid driving licence appropriate for the vehicle type.
Civil liability insurance (RC) covering passenger transportation, with minimum coverage as required by law.
Vehicle in good condition, compliant with VTC regulations (ITV current, registered for VTC use).
Valid DNI/NIE or passport.

3.1b VD Driver (Minibus / Coach — Discretionary Transport)

Valid VD authorization (Vehiculo Discrecional) for passenger transport by road.
Driving licence category D or D1 appropriate for the vehicle capacity.
CAP (Certificado de Aptitud Profesional) for passenger transport, current and valid.
Civil liability insurance (RC) covering passenger transportation, with minimum coverage as required by law.
Vehicle in good condition (ITV current, registered for VD use).
Valid DNI/NIE or passport.

3.2 Security Professional

Private security licence as required by Ley 5/2014, de 4 de abril, de Seguridad Privada.
TIP (Tarjeta de Identidad Profesional) issued by the Ministry of Interior.
Civil liability insurance covering security services.
Valid DNI/NIE or passport.

3.3 Autonomo (Self-Employed Individual)

Registration with RETA (Regimen Especial de Trabajadores Autonomos).
Valid NIF (Numero de Identificacion Fiscal).
Civil liability insurance (seguro de responsabilidad civil) appropriate for the services offered.
All applicable licences and permits for the specific service type.

3.4 Company

Valid CIF (Codigo de Identificacion Fiscal).
VTC operator licence (if applicable).
Fleet registered and insured in the company name.
Legal representative documentation.
Certificate of good standing (certificado de estar al corriente) with the Tax Agency and Social Security.

3.5 Boat Charter Operator

Valid navigation licence (titulo nautico) appropriate for the vessel.
Vessel registration and safety certificate (certificado de navegabilidad).
Civil liability insurance covering passengers and third parties.
Compliance with port authority regulations of the Balearic Islands.

4. Documents and Verification

Partners must upload all required documents through the ORYX Driver application before they can accept bookings.
ORYX will review and verify submitted documents. Approval is required before the Partner account is activated.
Partners must keep all documents current. Expired documents will result in automatic account suspension until updated documents are approved.
ORYX reserves the right to request additional documentation at any time for compliance verification.
Submitting false, forged, or misleading documentation is grounds for immediate and permanent account termination.

5. Services on the Platform

Partners may offer one or more of the following services, subject to meeting the applicable requirements:

Shuttle: Point-to-point private transportation within designated zones.
Private Driver: Hourly chauffeur service with the client's or Partner's vehicle.
Security: Personal security and protection services.
Boat Charter: Nautical excursions and boat rentals in the waters around Ibiza and Formentera.

6. Commissions and Payments

For each completed booking, the fare is split as follows: Partner receives 85% of the booking fare; ORYX retains 15% as a platform service fee.
Tips: 100% of tips go directly to the Partner. ORYX does not charge any fee on tips.
ORYX Circle commissions (referral programme) are paid entirely from ORYX's 15% service fee. Circle commissions never reduce the Partner's 85% share.
Payments are processed through Stripe Connect. By using the Platform, the Partner agrees to Stripe's terms of service.
Payouts are processed via Stripe Connect Express on the standard Stripe payout schedule to the Partner's linked bank account.
ORYX will provide transaction records and earnings summaries accessible through the ORYX Driver application.
The Partner is solely responsible for issuing invoices, collecting applicable taxes (IVA), and filing tax returns as required by Spanish law.

7. Partner Obligations

Hoja de Ruta: A trip record is automatically generated by the Platform for each VTC booking as required by Art. 24 ORDEN FOM 36/2008. The Partner must carry this document during the trip and present it to authorities upon request.
Quality Standards: Partners must maintain a minimum average rating of 4.0 out of 5.0. Partners with consistently lower ratings may have their account reviewed or suspended.
Code of Conduct: Partners must behave professionally, maintain a clean and presentable vehicle, dress appropriately, and treat clients with courtesy and respect.
Non-Solicitation: Partners shall not contact clients outside the Platform to offer services directly, circumventing the ORYX booking system. This restriction applies during the term of this Agreement and for 12 months after termination.
Confidentiality: Partners must not disclose client personal information obtained through the Platform to any third party.
Compliance: Partners must comply with all applicable local, regional, and national laws and regulations in the performance of their services.
Insurance: Partners must maintain valid and adequate insurance coverage at all times while performing services through the Platform.

8. Liability and Indemnification

The Partner is solely responsible for the services they provide, including the safety of clients, the condition of their vehicle or vessel, and compliance with applicable regulations.
ORYX acts exclusively as a technology intermediary and assumes no liability for the services provided by Partners, including but not limited to accidents, injuries, property damage, or service quality.
The Partner agrees to indemnify and hold ORYX harmless from any claims, damages, losses, or expenses (including legal fees) arising from the Partner's services, conduct, or breach of this Agreement.
ORYX's total liability under this Agreement shall not exceed the total platform fees collected from the Partner in the 12 months preceding the claim.

9. Intellectual Property

The ORYX name, logo, and brand elements are the exclusive property of ORYX Private Mobility.
Partners are granted a limited, non-exclusive, revocable licence to use the ORYX brand solely in connection with services provided through the Platform (e.g., displaying the ORYX logo on their vehicle while on duty).
Partners may not use the ORYX brand for any other purpose, including personal marketing or third-party promotion, without prior written consent from ORYX.
This licence is automatically revoked upon termination of this Agreement.

10. Duration and Termination

This Agreement is for an indefinite term and becomes effective upon the Partner's registration and acceptance of these terms.
Either party may terminate this Agreement at any time by providing written notice (email to support@ory-x.com or through the app).
ORYX may immediately suspend or terminate a Partner's account for:
- Submission of false or fraudulent documentation.
- Serious or repeated violations of this Agreement or the Code of Conduct.
- Criminal activity or behavior that endangers clients or third parties.
- Consistently low ratings (below 4.0) after a warning period.
- Operating without required valid licences or insurance.
- Circumventing the Platform for direct client bookings.
Upon termination, the Partner must cease using the ORYX brand and delete the ORYX Driver application. Outstanding earnings will be paid within 30 days, minus any deductions for pending disputes or damages.

11. Data Protection

ORYX processes Partner personal data in accordance with the General Data Protection Regulation (GDPR) and the Spanish Ley Organica 3/2018 de Proteccion de Datos Personales (LOPDGDD).
Personal data collected includes identity documents, contact information, location data (while online), vehicle information, and transaction records.

Partners may exercise their GDPR rights (access, rectification, deletion, portability) by contacting privacy@ory-x.com.

12. Governing Law and Jurisdiction

This Agreement is governed by the laws of Bulgaria. Any disputes arising from or in connection with this Agreement shall be submitted to the courts of Plovdiv, Bulgaria, unless otherwise required by applicable consumer protection laws.

13. Modifications

ORYX reserves the right to modify this Agreement at any time. Partners will be notified of material changes through the ORYX Driver application or by email at least 15 days before the changes take effect. Continued use of the Platform after the effective date constitutes acceptance of the modified terms.

Acuerdo de Colaboracion

Este Acuerdo de Colaboracion ("Acuerdo") establece los terminos y condiciones que rigen la relacion entre usted ("Colaborador", "usted") y ORYX Private Mobility ("ORYX", "Plataforma", "nosotros") para la prestacion de servicios a traves de la plataforma ORYX.

Al registrarse como proveedor de servicios en la aplicacion ORYX Driver y aceptar este Acuerdo, usted confirma que ha leido, comprendido y acepta quedar vinculado por sus terminos.

1. Definiciones

ORYX / Plataforma: Una plataforma tecnologica que conecta a clientes que buscan servicios de transporte privado, seguridad y nauticos con proveedores de servicios independientes. ORYX no presta directamente servicios de transporte, seguridad ni charter.
Colaborador: Un profesional independiente o empresa registrada en la aplicacion ORYX Driver para ofrecer servicios a clientes a traves de la Plataforma.
Cliente: Un usuario de la aplicacion ORYX que solicita servicios.
Reserva: Una solicitud de servicio realizada por un Cliente y aceptada por un Colaborador a traves de la Plataforma.
ORYX Circle: El programa de referidos de la Plataforma mediante el cual los usuarios obtienen comisiones por invitar a nuevos participantes.

2. Naturaleza de la Relacion

El Colaborador opera como trabajador autonomo o como empresa independiente. Este Acuerdo no crea ninguna relacion laboral, de agencia, empresa conjunta ni asociacion entre el Colaborador y ORYX.

El Colaborador es libre de trabajar con otras plataformas y de aceptar o rechazar reservas a su entera discrecion.
ORYX no impone horarios de trabajo, turnos ni un numero minimo de reservas.
El Colaborador es el unico responsable de sus propios impuestos, cotizaciones a la Seguridad Social (RETA), seguros y cumplimiento legal.
El Colaborador proporciona su propio vehiculo, equipamiento y herramientas necesarias para la prestacion de los servicios.
ORYX no dirige ni controla la forma en que el Colaborador presta los servicios, mas alla de los estandares de calidad establecidos en este Acuerdo.

3. Requisitos del Colaborador

Para registrarse y permanecer activo en la Plataforma, los Colaboradores deben cumplir los requisitos aplicables a su categoria de servicio:

3.1 Conductor VTC (Transporte Privado)

Autorizacion VTC vigente conforme a la Ley 9/2013, de 4 de julio, y la ORDEN FOM 36/2008.
Permiso de conducir vigente apropiado para el tipo de vehiculo.
Seguro de responsabilidad civil (RC) que cubra el transporte de pasajeros, con cobertura minima conforme a la ley.
Vehiculo en buen estado, conforme a la normativa VTC (ITV vigente, registrado para uso VTC).
DNI/NIE o pasaporte vigente.

3.1b Conductor VD (Minibus / Autocar — Transporte Discrecional)

Autorizacion VD (Vehiculo Discrecional) vigente para transporte de viajeros por carretera.
Permiso de conducir categoria D o D1 apropiado para la capacidad del vehiculo.
CAP (Certificado de Aptitud Profesional) para transporte de viajeros, vigente y valido.
Seguro de responsabilidad civil (RC) que cubra el transporte de pasajeros, con cobertura minima conforme a la ley.
Vehiculo en buen estado (ITV vigente, registrado para uso VD).
DNI/NIE o pasaporte vigente.

3.2 Profesional de Seguridad

Habilitacion de seguridad privada conforme a la Ley 5/2014, de 4 de abril, de Seguridad Privada.
TIP (Tarjeta de Identidad Profesional) expedida por el Ministerio del Interior.
Seguro de responsabilidad civil que cubra servicios de seguridad.
DNI/NIE o pasaporte vigente.

3.3 Autonomo (Trabajador por Cuenta Propia)

Alta en el RETA (Regimen Especial de Trabajadores Autonomos).
NIF (Numero de Identificacion Fiscal) vigente.
Seguro de responsabilidad civil adecuado a los servicios ofrecidos.
Todas las licencias y permisos aplicables al tipo de servicio especifico.

3.4 Empresa

CIF (Codigo de Identificacion Fiscal) vigente.
Licencia de operador VTC (si aplica).
Flota registrada y asegurada a nombre de la empresa.
Documentacion del representante legal.
Certificado de estar al corriente con la Agencia Tributaria y la Seguridad Social.

3.5 Operador de Charter Nautico

Titulo nautico vigente apropiado para la embarcacion.
Matriculacion de la embarcacion y certificado de navegabilidad.
Seguro de responsabilidad civil que cubra pasajeros y terceros.
Cumplimiento de la normativa de la autoridad portuaria de las Islas Baleares.

4. Documentos y Verificacion

Los Colaboradores deben cargar todos los documentos requeridos a traves de la aplicacion ORYX Driver antes de poder aceptar reservas.
ORYX revisara y verificara los documentos presentados. Se requiere aprobacion antes de activar la cuenta del Colaborador.
Los Colaboradores deben mantener todos sus documentos vigentes. Los documentos caducados resultaran en la suspension automatica de la cuenta hasta que se aprueben los documentos actualizados.
ORYX se reserva el derecho de solicitar documentacion adicional en cualquier momento para verificacion de cumplimiento.
La presentacion de documentacion falsa, falsificada o enganosa es motivo de cancelacion inmediata y permanente de la cuenta.

5. Servicios en la Plataforma

Los Colaboradores pueden ofrecer uno o mas de los siguientes servicios, sujeto al cumplimiento de los requisitos aplicables:

Shuttle: Transporte privado punto a punto dentro de zonas designadas.
Conductor Privado: Servicio de chofer por horas con el vehiculo del cliente o del Colaborador.
Seguridad: Servicios de seguridad y proteccion personal.
Charter Nautico: Excursiones nauticas y alquiler de embarcaciones en aguas de Ibiza y Formentera.

6. Comisiones y Pagos

Por cada reserva completada, la tarifa se reparte de la siguiente manera: el Colaborador recibe el 85% de la tarifa de la reserva; ORYX retiene el 15% como comision de servicio de la plataforma.
Propinas: El 100% de las propinas van directamente al Colaborador. ORYX no cobra ninguna comision sobre las propinas.
Comisiones ORYX Circle (programa de referidos) se pagan integramente de la comision del 15% de ORYX. Las comisiones del Circle nunca reducen la participacion del 85% del Colaborador.
Los pagos se procesan a traves de Stripe Connect. Al utilizar la Plataforma, el Colaborador acepta los terminos de servicio de Stripe.
Los pagos se procesan a traves de Stripe Connect Express segun el calendario estandar de pagos de Stripe a la cuenta bancaria vinculada del Colaborador.
ORYX proporcionara registros de transacciones y resumenes de ganancias accesibles a traves de la aplicacion ORYX Driver.
El Colaborador es el unico responsable de emitir facturas, recaudar los impuestos aplicables (IVA) y presentar declaraciones fiscales conforme a la legislacion espanola.

7. Obligaciones del Colaborador

Hoja de Ruta: La Plataforma genera automaticamente un registro de viaje para cada reserva VTC conforme al Art. 24 de la ORDEN FOM 36/2008. El Colaborador debe llevar este documento durante el viaje y presentarlo a las autoridades cuando se lo soliciten.
Estandares de Calidad: Los Colaboradores deben mantener una valoracion media minima de 4,0 sobre 5,0. Los Colaboradores con valoraciones consistentemente inferiores podran tener su cuenta revisada o suspendida.
Codigo de Conducta: Los Colaboradores deben comportarse profesionalmente, mantener un vehiculo limpio y presentable, vestir adecuadamente y tratar a los clientes con cortesia y respeto.
No Captacion: Los Colaboradores no deberan contactar a clientes fuera de la Plataforma para ofrecer servicios directamente, eludiendo el sistema de reservas de ORYX. Esta restriccion se aplica durante la vigencia de este Acuerdo y durante los 12 meses posteriores a su finalizacion.
Confidencialidad: Los Colaboradores no deben revelar informacion personal de los clientes obtenida a traves de la Plataforma a terceros.
Cumplimiento Normativo: Los Colaboradores deben cumplir con todas las leyes y regulaciones locales, autonomicas y nacionales aplicables en la prestacion de sus servicios.
Seguro: Los Colaboradores deben mantener una cobertura de seguro vigente y adecuada en todo momento mientras presten servicios a traves de la Plataforma.

8. Responsabilidad e Indemnizacion

El Colaborador es el unico responsable de los servicios que presta, incluyendo la seguridad de los clientes, el estado de su vehiculo o embarcacion y el cumplimiento de la normativa aplicable.
ORYX actua exclusivamente como intermediario tecnologico y no asume responsabilidad alguna por los servicios prestados por los Colaboradores, incluyendo, entre otros, accidentes, lesiones, danos materiales o calidad del servicio.
El Colaborador se compromete a indemnizar y mantener indemne a ORYX frente a cualquier reclamacion, dano, perdida o gasto (incluidos honorarios legales) derivados de los servicios del Colaborador, su conducta o el incumplimiento de este Acuerdo.
La responsabilidad total de ORYX en virtud de este Acuerdo no excedera el total de comisiones de plataforma cobradas al Colaborador en los 12 meses anteriores a la reclamacion.

9. Propiedad Intelectual

El nombre, logotipo y elementos de marca de ORYX son propiedad exclusiva de ORYX Private Mobility.
Se concede a los Colaboradores una licencia limitada, no exclusiva y revocable para usar la marca ORYX unicamente en relacion con los servicios prestados a traves de la Plataforma (p. ej., mostrar el logotipo de ORYX en su vehiculo durante el servicio).
Los Colaboradores no pueden utilizar la marca ORYX para ningun otro fin, incluyendo marketing personal o promocion de terceros, sin el consentimiento previo por escrito de ORYX.
Esta licencia se revoca automaticamente tras la finalizacion de este Acuerdo.

10. Duracion y Resolucion

Este Acuerdo tiene una duracion indefinida y entra en vigor tras el registro del Colaborador y la aceptacion de estos terminos.
Cualquiera de las partes puede resolver este Acuerdo en cualquier momento mediante notificacion por escrito (email a support@ory-x.com o a traves de la aplicacion).
ORYX puede suspender o cancelar inmediatamente la cuenta de un Colaborador por:
- Presentacion de documentacion falsa o fraudulenta.
- Violaciones graves o reiteradas de este Acuerdo o del Codigo de Conducta.
- Actividad delictiva o comportamiento que ponga en peligro a clientes o terceros.
- Valoraciones consistentemente bajas (por debajo de 4,0) tras un periodo de aviso.
- Operar sin las licencias o seguros vigentes requeridos.
- Eludir la Plataforma para reservas directas con clientes.
Tras la resolucion, el Colaborador debe cesar el uso de la marca ORYX y eliminar la aplicacion ORYX Driver. Las ganancias pendientes se pagaran dentro de los 30 dias siguientes, descontando cualquier deduccion por disputas o danos pendientes.

11. Proteccion de Datos

ORYX trata los datos personales de los Colaboradores conforme al Reglamento General de Proteccion de Datos (RGPD) y la Ley Organica 3/2018 de Proteccion de Datos Personales y garantia de los derechos digitales (LOPDGDD).
Los datos personales recopilados incluyen documentos de identidad, informacion de contacto, datos de ubicacion (mientras esta en linea), informacion del vehiculo y registros de transacciones.

Los Colaboradores pueden ejercer sus derechos RGPD (acceso, rectificacion, supresion, portabilidad) contactando a privacy@ory-x.com.

12. Legislacion Aplicable y Jurisdiccion

Este Acuerdo se rige por la legislacion de Bulgaria. Cualquier controversia derivada de o relacionada con este Acuerdo se sometera a los juzgados y tribunales de Plovdiv, Bulgaria, salvo que la legislacion de proteccion al consumidor aplicable disponga lo contrario.

13. Modificaciones

ORYX se reserva el derecho de modificar este Acuerdo en cualquier momento. Los Colaboradores seran notificados de los cambios sustanciales a traves de la aplicacion ORYX Driver o por correo electronico con al menos 15 dias de antelacion a la entrada en vigor de los cambios. El uso continuado de la Plataforma tras la fecha de entrada en vigor constituye la aceptacion de los terminos modificados.
