Terms of Service

1. Parties
These Terms of Service ("Terms") govern the relationship between:
Software Provider: Digital Energy EOOD, VAT: BG207588750, registered in Bulgaria, Spanish NIF: N0398374I (hereinafter "ORYX")
Partner: A legal entity or self-employed professional holding a VTC (Vehicle with Driver) license, registered on the ORYX platform (hereinafter "Partner" or "Company")
2. What is ORYX
ORYX is a software platform (SaaS — Software as a Service) for managing VTC vehicle fleets.
ORYX provides:
- Software license for fleet management
- Tools for organizing vehicles, drivers, and reservations
- Technical service for generating and communicating Hojas de Ruta to the RVTC
- A booking page (web page for reservations) hosted by ORYX on behalf of the Partner
- Notifications and reminders for expiring documents (insurance, ITV, licenses)
- GPS tracking system for drivers
ORYX does NOT provide:
- Transportation services of any kind
- Intermediation between end clients and carriers
- Verification or approval of the Partner's documents
- Guarantees regarding the quality of transport services
3. Partner Responsibility
The Partner is solely responsible for:
- Holding valid VTC licenses, permits, and all legally required documents
- Vehicle insurance and technical roadworthiness
- Hiring, qualification, and supervision of drivers
- Compliance with all applicable laws — LOTT, Ley 4/2014, Decreto 6/2026, and any other national or regional regulations
- The accuracy, currency, and truthfulness of data and documents uploaded to the platform. ORYX does not verify or approve uploaded documents.
- Relationships with end clients — the transport contract is concluded directly between the Partner and the client. ORYX is not a party to this contract.
- Service pricing — the Partner sets their own prices. The platform's pricing algorithm is an indicative tool, not a mandatory price.
4. ORYX Responsibility
ORYX is responsible solely for:
- The operation and availability of the software platform (with reasonable maintenance interruptions)
- Data security in accordance with GDPR and LOPDGDD
- Correct generation of Hojas de Ruta based on data provided by the Partner
ORYX is NOT responsible for:
- Incidents, damages, or injuries during transport services
- Quality of service provided by the Partner
- Errors in data uploaded by the Partner
- Losses caused by improper use of the platform
- Actions or omissions of the Partner's drivers
ORYX's maximum liability is limited to the fees paid by the Partner in the preceding 12 months.
5. Booking Page
Each Partner receives a booking page at: www.ory-x.com/book/{company-identifier}
- The booking page is a technical tool provided to the Partner. It functions as the Partner's website, hosted by ORYX.
- Reservations made through the booking page are directly between the client and the Partner. ORYX is not a party to the transport contract.
- The Partner is responsible for distributing the link/QR code to their clients.
- Client payments are processed through Stripe and go directly to the Partner's account. ORYX does not hold or manage these funds.
6. Subscription and Payments
- Subscription — The Partner pays a monthly subscription for use of the platform. The subscription is payment for software usage, not for transport services.
- Pricing — €49 per active vehicle per month. Partners who register on or before 31 December 2026 pay a launch price of €29 per active vehicle per month and keep that price for twelve months from the date of registration, after which the standard price applies. A branded booking site is a separate product at €29 per month. The mobile app for the Partner's drivers is included at no cost, with no limit on the number of drivers. Fleets of more than ten vehicles may agree a different price in writing; an agreed price prevails over the prices in this clause.
- Free trial — Fourteen days from registration, at no cost and with no payment card required. The first charge falls due on day fifteen. The Partner may cancel during the trial without any charge.
- Pause — The Partner may pause the subscription at any time from the panel. No charges accrue during pause. Resume at any time.
- Partner-channel bookings — Reservations routed to the fleet via ORYX partner channels (Ibiza Amigo, marketplaces, etc.) carry a 15% commission on the final fare, deducted automatically via Stripe Connect. Bookings created internally or via the Partner's own site are not subject to this commission.
- Charges are non-refundable. Failed payments are retried; after three consecutive failures the subscription is suspended.
- Payment may be made by card. Bank transfer is available on request for enterprise plans.
7. Hoja de Ruta (Technical Service)
- ORYX automatically generates Hojas de Ruta when a reservation is created, based on data provided by the Partner.
- Communication of Hojas de Ruta to the RVTC (Registro de Comunicaciones de Servicios VTC) of the Ministry of Transport is performed by ORYX as a technology provider (proveedor tecnológico), under authorization from the Partner.
- ORYX is not responsible for errors in Hojas de Ruta caused by inaccurate data provided by the Partner.
- The Partner must authorize Digital Energy EOOD (NIF: N0398374I) in the RVTC portal for communication of Hojas de Ruta on their behalf.
8. Data Protection
- ORYX processes personal data in accordance with Regulation (EU) 2016/679 (GDPR) and Ley Orgánica 3/2018 (LOPDGDD).
- Data controller: Digital Energy EOOD
- Driver and vehicle data is processed for the purpose of providing the software service.
- End client data (name, phone, email) entered through the booking page is provided to the Partner for fulfillment of the reservation. ORYX stores it for technical support and billing purposes.

9. Termination
- The Partner may terminate use at any time, with effect from the end of the month already paid for. Amounts already charged are not refunded; no further amount falls due.
- ORYX may terminate access if the Partner: violates these Terms, uses the platform for illegal purposes, or fails to pay for more than 60 days.
- Upon termination, the Partner's data is retained for 90 days, then deleted — except records that ORYX or the Partner is required by law to retain, in particular route sheets and DeCA control documents, invoices and accounting records. Those are kept for the period the applicable law requires, are not deleted on request before that period ends, and are available for export to the Partner at any time.
10. Applicable Law and Jurisdiction
For B2B relationships (Partners/Companies): These Terms are governed by the laws of the Republic of Bulgaria. Disputes shall be resolved by the competent courts in Plovdiv, Bulgaria.
For end clients (booking page): Relationships with end clients using the booking page are governed by the laws of Spain. Disputes shall be resolved by the competent courts of the consumer's place of residence.
11. Changes
ORYX reserves the right to modify these Terms. Partners will be notified by email and/or push notification. Continued use after notification constitutes acceptance of the new Terms.

1. Partes
Las presentes Condiciones de Uso ("Condiciones") regulan la relación entre:
Proveedor de software: Digital Energy EOOD, NIF-IVA: BG207588750, con sede en Bulgaria, NIF español: N0398374I (en adelante "ORYX")
Colaborador: Persona jurídica o trabajador autónomo titular de una autorización VTC (Vehículo de Turismo con Conductor), registrado en la plataforma ORYX (en adelante "Colaborador" o "Empresa")
2. Qué es ORYX
ORYX es una plataforma de software (SaaS — Software as a Service) para la gestión de flotas de vehículos VTC.
ORYX proporciona:
- Licencia de uso de software para gestión de flotas
- Herramientas para la organización de vehículos, conductores y reservas
- Servicio técnico para la generación y comunicación de Hojas de Ruta al RVTC
- Página web de reservas (booking page) alojada por ORYX por cuenta del Colaborador
- Notificaciones y recordatorios de documentos a punto de caducar (seguros, ITV, licencias)
- Sistema de seguimiento GPS de los conductores
ORYX NO proporciona:
- Servicios de transporte de ningún tipo
- Intermediación entre clientes finales y transportistas
- Verificación o aprobación de los documentos del Colaborador
- Garantías sobre la calidad del servicio de transporte
3. Responsabilidad del Colaborador
El Colaborador es el único responsable de:
- Poseer y mantener vigentes las autorizaciones VTC, permisos y todos los documentos legalmente exigidos
- Los seguros de los vehículos y su aptitud técnica
- La contratación, cualificación y control de los conductores
- El cumplimiento de toda la normativa aplicable — LOTT, Ley 4/2014, Decreto 6/2026 y cualquier otra regulación nacional o autonómica
- La exactitud, actualidad y veracidad de los datos y documentos subidos a la plataforma. ORYX no verifica ni aprueba los documentos subidos.
- Las relaciones con los clientes finales — el contrato de transporte se celebra directamente entre el Colaborador y el cliente. ORYX no es parte de dicho contrato.
- Los precios de los servicios — el Colaborador establece sus propios precios. El algoritmo de precios de la plataforma es una herramienta orientativa, no un precio obligatorio.
4. Responsabilidad de ORYX
ORYX es responsable únicamente de:
- El funcionamiento y la disponibilidad de la plataforma de software (con interrupciones razonables por mantenimiento)
- La seguridad de los datos conforme al RGPD y la LOPDGDD
- La correcta generación de Hojas de Ruta a partir de los datos proporcionados por el Colaborador
ORYX NO es responsable de:
- Incidentes, daños o lesiones durante el servicio de transporte
- La calidad del servicio prestado por el Colaborador
- Errores en los datos subidos por el Colaborador
- Pérdidas causadas por un uso indebido de la plataforma
- Acciones u omisiones de los conductores del Colaborador
La responsabilidad máxima de ORYX se limita al importe de las tarifas abonadas por el Colaborador en los 12 meses anteriores.
5. Página de Reservas (Booking Page)
Cada Colaborador recibe una página web de reservas en: www.ory-x.com/book/{identificador-de-empresa}
- La página de reservas es una herramienta técnica proporcionada al Colaborador. Funciona como la página web del Colaborador, alojada por ORYX.
- Las reservas realizadas a través de la página de reservas son directamente entre el cliente y el Colaborador. ORYX no es parte del contrato de transporte.
- El Colaborador es responsable de la distribución del enlace/código QR a sus clientes.
- Los pagos de los clientes se procesan a través de Stripe y se ingresan directamente en la cuenta del Colaborador. ORYX no retiene ni gestiona dichos fondos.
6. Suscripción y Pagos
- Suscripción — El Colaborador paga una suscripción mensual por el uso de la plataforma. La suscripción es un pago por el uso del software, no por servicios de transporte.
- Precio — 49 € por vehículo activo al mes. Los Colaboradores que se registren el 31 de diciembre de 2026 o antes pagan un precio de lanzamiento de 29 € por vehículo activo al mes y lo mantienen durante doce meses desde la fecha de alta; transcurrido ese plazo se aplica el precio estándar. El sitio de reservas propio es un producto aparte, a 29 € al mes. La aplicación móvil para los conductores del Colaborador está incluida sin coste y sin límite de conductores. Las flotas de más de diez vehículos podrán acordar por escrito un precio distinto; el precio acordado prevalece sobre los de esta cláusula.
- Prueba gratuita — Catorce días desde el alta, sin coste y sin necesidad de tarjeta. El primer cargo vence el día quince. El Colaborador puede cancelar durante la prueba sin cargo alguno.
- Pausa — El Colaborador puede pausar la suscripción en cualquier momento desde el panel. Durante la pausa no se generan cargos. Reactivable en cualquier momento.
- Reservas de canales socios — Las reservas dirigidas a la flota a través de canales socios de ORYX (Ibiza Amigo, marketplaces, etc.) llevan una comisión del 15% sobre la tarifa final, descontada automáticamente vía Stripe Connect. Las reservas creadas internamente o por el sitio propio del Colaborador no están sujetas a esta comisión.
- Los cargos no son reembolsables. Los pagos fallidos se reintentan; tras tres fallos consecutivos la suscripción se suspende.
- El pago puede realizarse con tarjeta. La transferencia bancaria está disponible bajo solicitud para planes empresariales.
7. Hoja de Ruta (Servicio Técnico)
- ORYX genera automáticamente las Hojas de Ruta al crear una reserva, a partir de los datos proporcionados por el Colaborador.
- La comunicación de las Hojas de Ruta al RVTC (Registro de Comunicaciones de Servicios VTC) del Ministerio de Transportes se realiza por ORYX como proveedor tecnológico, bajo autorización del Colaborador.
- ORYX no es responsable de errores en las Hojas de Ruta causados por datos inexactos proporcionados por el Colaborador.
- El Colaborador debe autorizar a Digital Energy EOOD (NIF: N0398374I) en el portal del RVTC para la comunicación de Hojas de Ruta en su nombre.
8. Protección de Datos
- ORYX trata datos personales conforme al Reglamento (UE) 2016/679 (RGPD) y la Ley Orgánica 3/2018 (LOPDGDD).
- Responsable del tratamiento: Digital Energy EOOD
- Los datos de conductores y vehículos se tratan con la finalidad de prestar el servicio de software.
- Los datos de clientes finales (nombre, teléfono, email) introducidos a través de la página de reservas se facilitan al Colaborador para la ejecución de la reserva. ORYX los conserva para soporte técnico y facturación.

9. Terminación
- El Colaborador puede cesar el uso en cualquier momento, con efecto al final del mes ya abonado. Los importes ya cobrados no se reembolsan; no se devenga ningún importe posterior.
- ORYX puede rescindir el acceso si el Colaborador: incumple estas Condiciones, utiliza la plataforma con fines ilegales o no realiza el pago durante más de 60 días.
- Tras la rescisión, los datos del Colaborador se conservan durante 90 días y después se eliminan — salvo los registros que ORYX o el Colaborador estén obligados a conservar por ley, en particular las hojas de ruta y los documentos de control DeCA, las facturas y los registros contables. Esos se conservan durante el plazo que exija la normativa aplicable, no se eliminan a petición antes de que termine ese plazo, y el Colaborador puede exportarlos en cualquier momento.
10. Legislación Aplicable y Jurisdicción
Para relaciones B2B (Colaboradores/Empresas): Las presentes Condiciones se rigen por la legislación de la República de Bulgaria. Los litigios se resolverán ante los tribunales competentes de Plovdiv, Bulgaria.
Para clientes finales (página de reservas): Las relaciones con los clientes finales que utilicen la página de reservas se rigen por la legislación española. Los litigios se resolverán ante los tribunales competentes del domicilio del consumidor.
11. Modificaciones
ORYX se reserva el derecho de modificar las presentes Condiciones. Los Colaboradores serán notificados por correo electrónico y/o notificación push. El uso continuado tras la notificación implica la aceptación de las nuevas Condiciones.
